LadderWatch Demo Terms and Agreement
Effective Date: April 2026
Demo Expiration: On or before May 4, 2026
By accessing or using the LadderWatch demo platform (“Demo”), you agree to the following terms:
1. Demo Purpose and Limitations
This Demo is provided solely for evaluation and demonstration purposes.

The Demo environment is not a production system.

Data entered may not be stored, may be incomplete, and may not persist.

Features may be limited, modified, or removed at any time without notice.
You agree not to rely on the Demo for operational, safety-critical, or regulatory decisions.
2. Data Collection and Retention

No data entered into the Demo is intended to be stored in a permanent database.

Any data submitted, including personal information and uploaded content, will be deleted on or before May 4, 2026.

The Demo is not intended for the submission of sensitive, confidential, or proprietary information.
You agree not to submit any information you are not authorized to share.
3. Acceptable Use
You agree to use the Demo in a professional and appropriate manner consistent with maritime industry standards.
You may not:

Upload, submit, or transmit offensive, obscene, or inappropriate content, including images.

Submit false, misleading, or intentionally inaccurate reports.

Use the platform in any way that could damage, disrupt, or impair its functionality.
Violation of these terms may result in immediate termination of access and permanent restriction from future use of LadderWatch.
4. No Warranty
The Demo is provided “as is” without any warranties, express or implied, including but not limited to accuracy, reliability, or fitness for a particular purpose.
LadderWatch makes no guarantees regarding the performance or results of the Demo.
5. Limitation of Liability
To the maximum extent permitted by law:
LadderWatch and its operators shall not be liable for any injury, loss, damage, or consequences arising from:

Use of the Demo

Reliance on any information provided within the Demo

Any errors, omissions, or interruptions in the Demo
6. Access and Termination
LadderWatch reserves the right to:

Suspend or terminate access to the Demo at any time, for any reason

Revoke access for violations of these terms

Discontinue the Demo without notice
7. Feedback
Any feedback provided during the Demo may be used to improve LadderWatch products and services, without obligation or compensation.
8. Agreement
By accessing the Demo using a provided access code, you acknowledge that you have read, understood, and agree to these Terms and Agreement.
LADDERWATCH LLC
DATA CONTRIBUTION, INTELLECTUAL PROPERTY ASSIGNMENT, AND RELEASE AGREEMENT
Effective Upon Submission
This Data Contribution, Intellectual Property Assignment, and Release Agreement (“Agreement”) is entered into by the individual submitting materials (“Contributor”) in favor of LadderWatch LLC, a Washington limited liability company (“Company”), as of the date Contributor submits any materials.
For purposes of this Agreement, “Company” includes LadderWatch LLC, LadderWatch Lda (a company organized under the laws of Portugal), and any entities controlling, controlled by, or under common control with them, as well as any successors or assigns.
1. Binding Acceptance
By uploading, submitting, or otherwise providing any images, photographs, video frames, sensor data, annotations, metadata, or related materials (collectively, “Submitted Materials”), Contributor irrevocably agrees to be bound by this Agreement.
Contributor acknowledges that submission constitutes a legally binding electronic acceptance.
2. Assignment of Rights
2.1 Present Assignment
Contributor hereby irrevocably assigns, transfers, and conveys to Company (including LadderWatch LLC, LadderWatch Lda, and their affiliates, successors, and assigns) all right, title, and interest worldwide in and to the Submitted Materials, including:
• All copyrights and neighboring rights
• All moral rights (to the extent waivable)
• All database and sui generis rights
• All trade secret rights
• All patent rights, inventions, discoveries, improvements, and contributions to conception or reduction to practice embodied in, derived from, or related to the Submitted Materials
• All rights to reproduce, distribute, display, perform, modify, adapt, and create derivative works
This assignment is a present assignment of future rights and applies to all rights now known or later arising.
2.2 Work Made for Hire
To the extent permitted by law, the Submitted Materials shall be deemed works made for hire for Company. To the extent any rights do not qualify, they are assigned under Section 2.1.
2.3 Transfer to LadderWatch Lda and Other Entities
Contributor expressly acknowledges and agrees that:
• The Submitted Materials and all associated rights may be transferred to LadderWatch Lda (Portugal) as the primary entity for research, development, commercialization, and intellectual property ownership
• Such transfer may occur at any time, without notice or further consent
• LadderWatch Lda and any other affiliate, successor, or assignee shall have the full benefit of all rights granted under this Agreement
2.4 Unrestricted Transfer
Company may freely assign, transfer, license, or otherwise convey the Submitted Materials and all associated rights, in whole or in part, without restriction or further consent, including to foreign entities.
2.5 Further Assurances; Power of Attorney
Contributor agrees to execute additional documents and provide reasonable assistance as requested to:
• Perfect or enforce Company’s or its assignee’s rights
• Support patent filings, prosecution, continuations, or enforcement
• Confirm inventorship, derivation, or priority
If Contributor fails to cooperate, Contributor hereby appoints Company as irrevocable attorney-in-fact solely for these purposes.
3. Commercial, AI, and Patent Use
Company shall have the unrestricted, perpetual, irrevocable right to use the Submitted Materials for any lawful purpose, including:
• Training, testing, validating, and improving machine learning and AI systems
• Commercial products and services
• Licensing, sale, or transfer to third parties
• Research and development
• Regulatory or certification use
• Patent preparation, filing, prosecution, and enforcement
Contributor acknowledges that Submitted Materials may be:
• Combined with other data
• Modified, transformed, or abstracted
• Incorporated into systems where they are not individually identifiable
4. No Compensation
Contributor acknowledges and agrees that:
• Submission is voluntary
• No compensation, royalties, or other payment is owed or will be owed in connection with the Submitted Materials or their use
• Contributor waives any right to claim compensation now or in the future
5. Representations and Warranties
Contributor represents, warrants, and covenants that:
5.1 Ownership and Authority
• Contributor is the sole creator and owner of the Submitted Materials or has full legal authority to assign them
• No third party has rights inconsistent with this Agreement
5.2 No Conflicts
• Submission does not violate any agreement, including employment, contractor, confidentiality, or governmental obligations
5.3 Non-Infringement
• Submitted Materials do not infringe or misappropriate any intellectual property, privacy, publicity, or contractual rights
5.4 Maritime and Regulatory Compliance
• Submitted Materials do not contain restricted, classified, or regulated maritime or port security information, including sensitive security information (SSI), restricted vessel systems, or protected port facility data, unless explicitly disclosed and authorized
• Submission does not violate any obligations owed to vessel owners, operators, port authorities, pilot organizations, or employers
• Materials do not include confidential or proprietary information beyond what is lawfully observable
5.5 Public Vantage and Privacy
• Submitted Materials were captured from lawful vantage points where no reasonable expectation of privacy exists
• Any individuals depicted were captured incidentally in public or operational settings consistent with applicable law
• Contributor has obtained any required permissions where legally necessary
5.6 Export Control
• Submitted Materials are not subject to export control laws or restrictions (including ITAR, EAR, or similar regimes), unless explicitly disclosed in writing
• Contributor has not included controlled technical data requiring special authorization
5.7 Lawful Collection
• Materials were collected and submitted in compliance with all applicable laws and regulations
6. Data Provenance and Integrity
Contributor agrees that any metadata or contextual information provided is accurate to the best of their knowledge.
Contributor acknowledges that Company and its successors may rely on such information to establish data provenance, auditability, and evidentiary support for commercial use and intellectual property rights.
7. Data Protection and International Use
Contributor acknowledges and agrees that:
• Submitted Materials may include information that qualifies as personal data under applicable laws (including GDPR)
• Company may process such data for legitimate business purposes, including research, development, and commercialization
• Submitted Materials may be transferred, stored, and processed internationally, including in the United States and the European Union
• Where required, Company will implement appropriate safeguards for cross-border data transfers
8. Waiver of Moral Rights
To the fullest extent permitted by law, Contributor irrevocably waives all moral rights, including rights of attribution and integrity.
9. Release
Contributor releases and forever discharges Company and its successors and assigns from any claims arising out of or related to:
• Use, modification, or commercialization of the Submitted Materials
• Lack of attribution
• Combination with other data
10. Indemnification
Contributor agrees to indemnify, defend, and hold harmless Company and its successors and assigns from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising from:
• Breach of this Agreement
• Inaccurate representations or warranties
• Third-party claims related to the Submitted Materials
11. Confidentiality
Submitted Materials are deemed non-confidential and non-proprietary, unless expressly agreed otherwise in writing by Company.
12. Governing Law and Enforcement
This Agreement shall be governed by the laws of the State of Washington, USA, without regard to conflict of law principles.
Company and its successors and assigns may enforce this Agreement and associated intellectual property rights in any jurisdiction worldwide.
13. Severability
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
This Agreement constitutes the entire agreement between Contributor and Company regarding the Submitted Materials.
15. Electronic Execution
Submission through an online form, including checkbox acceptance, constitutes a legally binding electronic signature.
By submitting, you agree to the LadderWatch Data Contribution and IP Assignment Agreement (link), including full assignment of all intellectual property rights for commercial and patent use.
